Blue Sky Associate

Lowenstein Sandler’s Capital Markets & Securities practice is seeking an Associate to specialize in blue sky compliance.  Candidates should have three or more years of experience advising on all aspects of blue sky compliance, including: the application for and generation of SEC Edgar codes, reviewing offering materials to ensure proper federal and state securities law disclosures, the preparation and filing of the Form D with the SEC, state securities law (blue sky) analysis, the preparation of a state blue sky tracking chart (detailing the exemptions relied upon and filings), and the preparation and filing of required state blue sky notice filings. Section 13/16 organization experience is a plus. Capital Markets & Securities Associate

Lowenstein Sandler is seeking a Capital Markets & Securities Associate to join our Transactions & Advisory Group. The candidate should have 5+ years of corporate transactional experience with focused expertise in public securities offerings and SEC compliance, debt and Rule 144A issuances, and structured preferred stock and convertible notes transactions.  SPAC and life sciences/biotech experience is a plus. FinTech Regulatory Associate

Lowenstein Sandler’s Investment Management Group is looking for a motivated and ambitious Associate with 3 – 5 years of financial services regulatory and compliance experience to join our fast-paced practice advising some of the fastest growing FinTech broker-dealers, robo-advisers and crypto-focused companies.  Preferred qualifications include experience with:  reviewing, researching and analyzing federal securities laws and regulations, as well as FINRA rules; forming FINRA member broker-dealers; advising crypto exchanges and other blockchain focused companies; reviewing FinCEN AML regulations and advising necessary compliance; licensing entities with states as money transmitters; responding to and navigating SEC, FINRA and state regulatory examination and/or enforcement processes; drafting written supervisory procedure manuals and anti-money laundering procedures; and drafting Form ADV and related procedures and contracts.  Lowenstein Sandler is committed to equal employment opportunity and providing reasonable accommodations to applicants with physical and/or mental disabilities. Investment Management Associate

Lowenstein Sandler’s Investment Management Group is seeking a highly qualified 4th or 5th year Associate with strong investment management experience to be based from our NYC or Roseland, NJ office. Specific expertise in hedge fund and/or private equity fund formation and structuring is required. Familiarity with the Investment Advisers Act of 1940 and regulatory/compliance experience is preferred. Candidates must have excellent analytical skills, drafting skills, and communication skills. Investment Management Associate – Venture Funds

Lowenstein Sandler’s Investment Management team is seeking a highly qualified Associate or Counsel-level attorney with strong experience in venture fund formation and a desire for responsibility for our NYC, Palo Alto, CA or Roseland, NJ office.  Candidate will specialize in leading the formation and launch of venture capital funds, including having primary responsibility and oversight for the drafting and negotiation of documents and serving as a key contact for, and advisor, to clients, as well as working with our Tech Group in counseling these funds throughout the various stages of their lifecycle.  Candidates should have a minimum of 4 years of relevant experience.

M&A/Private Equity Associate

Patent Attorney

Lowenstein Sandler’s Intellectual Property Section of the Tech Group is seeking a highly qualified Patent Attorney in our Roseland, NJ, Centerville, UT, or Palo Alto, CA locations. Candidates should have two to five years of solid experience as a Patent Attorney (additional experience as a Patent Agent is a plus) with significant experience preparing, filing, and prosecuting patent applications for software including operating systems, middleware software, directory servers, network management, virtualization and cloud computing.
